Spekco

End-User License Agreement

Effective October 1, 2026

This End-User License Agreement (“Agreement”) is a legal contract between you and 440 Technologies LLC, doing business as Spekco (“Spekco,” “we,” “us”). It governs your license to use the Spekco platform, including its web applications, mobile interfaces, customer portal, point-of-sale, online store, integrations, and related software (the “Software”).

This Agreement is part of our Terms of Service (“Terms”). Capitalized terms not defined here have the meanings given in the Terms. If this Agreement conflicts with the Terms, the Terms control.

You accept this Agreement by creating an account, signing in, or otherwise using the Software. If you accept on behalf of a business, you represent that you have authority to bind that business.

1. License Grant

Subject to your compliance with this Agreement and the Terms, and to your active subscription or trial, Spekco grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your internal business operations. Your Authorized Users may use the Software on your behalf, and you are responsible for their compliance. End Users may use the customer-facing features of the Software only to deal with the business that invited them.

2. Permitted Use

Examples of permitted use include:

  • Tracking customer repairs, appointments, and communications
  • Processing in-store and online sales through the point-of-sale and storefront
  • Issuing invoices and receipts to your customers
  • Connecting authorized Third-Party Services, such as payment processors, accounting platforms, email and text-message providers, and shipping carriers

3. Restrictions

You may not, and may not permit anyone else to:

  • Copy, modify, distribute, sell, lease, sublicense, or create derivative works of the Software
  • Reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas from the Software, except where the law allows it despite this restriction
  • Use the Software to build, train, or improve any competing product or service
  • Resell, rebrand, or offer the Software as a service to others without a written reseller agreement
  • Access the Software by automated means (bots, scrapers, crawlers) except through documented APIs and within documented rate limits
  • Get around usage limits, plan restrictions, or security features
  • Remove or alter any proprietary notice in the Software
  • Use the Software for any purpose the Acceptable Use rules in Section 14 of the Terms prohibit

4. Ownership

The Software, including its source code, designs, trademarks, documentation, and underlying technology, belongs to Spekco and its licensors. This Agreement grants you a license, not ownership, and all rights not expressly granted are reserved. You own your Customer Data as provided in Section 6 of the Terms.

5. Updates

We may update the Software at any time, including automatically, and may add, change, or remove features as provided in Section 23 of the Terms. We are not obliged to support older browsers, devices, or operating systems.

6. Third-Party Services and Components

The Software works with Third-Party Services, such as Stripe, Square, QuickBooks Online, Twilio, email providers, and shipping carriers. Their own terms govern your use of them, and Section 13 of the Terms applies. The Software may include open-source components, which are licensed under their own licenses.

7. Account Security

Section 5 of the Terms governs account security. You are responsible for your logins and Authorized Users, and Spekco is not liable for access that results from compromised credentials, from a decision not to use two-factor authentication, or from the other causes listed there. We strongly recommend turning on two-factor authentication for every user.

8. Availability

Section 8 of the Terms governs availability. The Software is provided as available, with no uptime commitment. Spekco is not liable for lost business or other loss caused by an interruption.

9. Warranty Disclaimer and Limitation of Liability

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. THE DISCLAIMER OF WARRANTIES IN SECTION 17 OF THE TERMS AND THE LIMITATION OF LIABILITY IN SECTION 18 OF THE TERMS APPLY TO THE SOFTWARE AND TO THIS AGREEMENT. AMONG OTHER THINGS, THEY EXCLUDE INDIRECT AND CONSEQUENTIAL DAMAGES, LOST PROFITS, BUSINESS INTERRUPTION, AND LOSS OF DATA, AND THEY CAP SPEKCO’S TOTAL LIABILITY AT THE AMOUNTS STATED IN SECTION 18(b) OF THE TERMS.

10. Indemnification

Section 19 of the Terms governs your obligation to indemnify Spekco.

11. Termination

This Agreement lasts until your account ends. Your license ends automatically when your subscription or trial ends without renewal, when your account is terminated under Section 15 of the Terms, or if you breach this Agreement. Sections 3, 4, 9, 10, 13, and 14 survive termination.

12. Changes to This Agreement

We may update this Agreement. We will give notice of material changes as provided in Section 23 of the Terms, and existing Business Customers will be notified at least 30 days before the changes take effect.

13. Export and Government Use

You will comply with U.S. export control and sanctions laws in your use of the Software. The Software is “commercial computer software” and its documentation is “commercial computer software documentation.” Any use by the U.S. government is governed solely by this Agreement and the Terms, as provided in FAR 12.212 and DFARS 227.7202.

14. Disputes and Governing Law

Sections 21 and 22 of the Terms govern disputes about this Agreement. For Business Customers, that means individual binding arbitration and a waiver of class actions and jury trials.
